Our client is a leading European Private Equity firm with a diverse portfolio of investments across a range of geographies, markets and multiple investment strategies. As a result of the growth of their structure, they are seeking to recruit a SPV Fund Controller for the Luxembourg office. THE JOB:
Reporting to the SPV Portfolio Manager, the SPV Fund Controller will be in charge of the day-to-day management and operations of the unregulated SPV companies forming part of the Private Equity Funds and will ensure the transactions' processes are delivered in a timely manner and up to the highest standard. The SPV Fund Controller is part of the SPV team and works closely with the AIFM Fund Administration team in Luxembourg as well as with Investment Professionals across Europe and in close interaction with the London office.
They are looking for a dynamic individual, willing to commit on a long-term basis and who will be able, thanks to his/her personal attributes and skills, to be recognized as a key member among the team.
Main responsibilities:

• Provide support in the SPV transactions from the inception of a deal to its ultimate disposal.
• Involvement in the set up and implementation of complex acquisition structure.
• Preparation of the transactions of the SPVs in relation with the various deals across the Funds under the supervision of the experienced Fund Controller and the Portfolio Manager, analysis of the structuring and legal documentation liaising with lawyers and service providers.
• Review or preparation of the structuring and legal documentation such as fund flows, board packs, capital call notices, structure chart, loan agreement...
• Act as contact person internally (with deal teams, the fund team, etc...) and externally (consultants, notary, lawyers, banks, etc...).
• Cash flow management incl. preparing bank payments, follow up payments with banks.
• Preparation of ad-hoc reporting (co-investor's capitalisation table).
• Follow up on ad hoc queries in a diligent manner.
• Be part of ad hoc projects when required.
• Provide support on AML/KYC due diligence on asset.
• Be involved in all aspects of the SPV management, from incorporation to liquidation.
• Assist with direct and indirect tax fillings, regulatory reporting (CSSF and BCL).
• Carry out/review simple SPV's bookkeeping using the software BOB and SPV's financial statements.
• Maintain SPVs share register up to date.
• Quarterly reconciliation of ownership structure of assets.
• Involvement in other aspects such as corporate secretarial work (BOD, AGM, EGM).

THE CANDIDATE PROFILE:

• University degree or equivalent education background in Accounting or Finance
• At least 3-4 years of relevant experience acquired in the field of:
  • Domiciliation / Corporate Management Services
  • Big 4
  • A Private Equity or Real Estate fund
• Good knowledge of Lux GAAP accounting
• Good knowledge of the PE industry
• Good command of Excel
