Our client is currently seeking a Manager in the Corporate departement. You will join a of team of approximately 20 professionals. This rapidly expanding international service provider is established in several countries and plans to double its workforce in the coming years-a true testament to their ongoing success.
In this role, you will manage a portfolio of high-quality, prestigious clients, including SOPARFIs, Securitization vehicles, and Institutional clients, providing a significant boost to your career and technical expertise. You will work in modern, spacious offices in the heart of Luxembourg City, immersed in the dynamic energy of the financial center.
Key Responsibilities
- Entity Lifecycle Management: Lead the legal setup, maintenance, and restructuring of SOPARFIs and Securitization structures (including compartments).
- German Market Lead: Serve as the primary senior point of contact for German-speaking institutional clients, ensuring seamless communication and relationship management.
- Corporate Governance: Prepare, review, and lead Board Meetings and Shareholders' Meetings. Draft complex legal documents, minutes, and resolutions in English and German.
- Regulatory Compliance: Ensure all vehicles adhere to the Luxembourg Law of 1915 and the Securitization Law of 2004, as well as AML/KYC requirements.
- Strategic Coordination: Manage relationships with external stakeholders including notaries, auditors, and legal advisors in both Luxembourg and Germany.
Your Profile
- Fluent in English and French, German would be a great asset.
- Technical Expert: Deep, hands-on experience with SOPARFI and Securitization vehicles. You understand the nuances of orphaned structures and SVPs.
- Experience: Minimum 6-8 years in a Corporate Secretarial or Legal Manager role within a Fiduciary, Law Firm, or PSF in Luxembourg.
- Communication: Excellent command of English. French is a plus.
- Education: Master's Degree in Law, Finance, or a related field.
