ADVISORY KEY
The Senior Fund Corporate Officer will be responsible for:
• Ensuring day-to-day corporate governance of Luxembourg fund vehicles/aggregators including the maintenance of statutory records and registers, the monitoring of signature powers, corporate authorisations and the follow-up of the annual accounts’ approval process
• Establishment of Luxembourg fund vehicles/aggregators (including drafting notices, agendas, minutes, proxies and attendance lists) and liaison with the internal Compliance, Risk, Finance teams and internal legal counsels, as well as external counsel, for incorporation and marketing formalities
• Organising, preparing and coordinating boards meetings for Luxembourg fund vehicles/aggregators’ closings in collaboration with the internal legal counsels, finance teams and external counsel (including drafting notices, agendas, minutes, written resolutions, proxies and attendance lists)
• Preparation of subscription documents for internal entities and coordination of internal signatures
• Liaising with internal legal counsels, internal finance teams, external counsel, notaries, banks and service providers for execution and completion of legal documentation (including notarial deeds where required), apostille/legalisation and management of originals
• Coordinating AML/KYC and onboarding requirements in collaboration with compliance and operations teams, including collection and maintenance of investor/shareholder and director documentation
• Reviewing, maintaining and archiving corporate records, and coordinating statutory filings and updates with Luxembourg registers (RCS and RBE/UBO), ensuring completeness, audit readiness and timely retrieval of originals/receipts
Qualifications and experience:
• Master’s degree in Law (or equivalent), ideally with a focus on corporate/company law; Luxembourg experience is a strong advantage
• 5+ years’ experience in a corporate legal, regulated financial services, fund/asset management or professional services environment (e.g., law firm, corporate services provider, in-house)
• Fluent French and English (written and spoken)
• Very good command of Microsoft Office; familiarity with corporate databases/filing portals and document management systems is a plus
• Interest in artificial intelligence and legal technology, with a willingness to explore innovative solutions that enhance efficiency, knowledge sharing, and compliance within the legal function.
