Our client, a company specializing in property and casualty insurance and reinsurance, established following a strategic acquisition, is seeking a Corporate Secretary to join their dynamic team.
Your Missions
As a Corporate Secretary, your responsibilities will include:
• Organize and present board meetings (quarterly, ad hoc basis, deal meetings, credit facilities, board meeting) and collation of relevant board packs, annexes, agendas, proxies, etc.
• Drafting board minutes and collecting signatures.
• Updating the board meeting database.
• For deal meetings, instruct Analyst and follow up on duplication of minutes review and any minutes prepared by Juniors.
• Assist in the preparation and arrange the execution of various legal documentation
• Arrange certification, notarization, and legalization of documents, delegate to Juniors as appropriate.
• Lodge corporate changes with the Luxembourg Business Registers.
• Handle KYC requests by third parties.
• Ensure appropriate and consistent filing of the portfolio documentation in line with the filing and archiving policy.
Experience: 3 to 5 years in a relevant role.

- Legal and Corporate Expertise: Strong legal and corporate knowledge, with the versatility to occasionally handle reception duties.
- Presentation Skills: Proficient in PowerPoint with the ability to prepare high-quality presentations.
- Initiative and Precision: Proactive, detail-oriented, and capable of managing multiple responsibilities with precision.
- Dynamic and Versatile: Energetic and adaptable in a fast-paced environment.
- Language Skills: Fluency in english
